The TigerMark™ Insurance Policy

The issuer and its management (the insureds) has purchased an insurance policy in connection with this offering. The policy is provided by Assurely as the program administrator for AXA-XL insurance company. In some circumstances, the policy can provide coverage for claims brought by a crowdfunding investor against an Insured alleging THEFT OF FUNDS or MISUSE OF FUNDS by an Insured, or material intentional MISREPRESENTATION by an Insured in the offering documents.

Please note that the investor is not an insured under the policy but rather may be entitled to reimbursement of some or all of its investment in the event of a covered claim. The claim must be generally brought by the investor within one year from the effective date of the offering, and allege wrongful conduct by an insured. Like all insurance policy, the policy contains some conditions and exclusions. While an investor may receive reimbursement of some or all of their investment in the event of misconduct by the issuer or its management, there is no guarantee that the investor will receive 100% of their investment back; the policy is not a guarantee of performance or a guarantee of investor returns. In all events, the maximum amount a claimant may recover is the total amount of his or her investment in the issuer.

An investor may request confirmation that an issuer has requested the TigerMark policy and the insurer or its agent has agreed to issue the insurance policy to an issuer by emailing such request to InvestorRequest@assurely.com. However, no insurance is effective until the raise is successfully completed, and the insurance carrier has received the full premium for coverage from the issuer or from the ESCROW company or platform on the behalf of the issuer.

Like all insurance policies, coverage under the Policy is limited to covered risks and is subject to certain exclusions and other limitations. Crowdfunding investors can submit a claim by emailing InvestorRequest@assurely.com and enter “CROWDFUNDING INVESTOR CLAIM” in the subject line.
